We represented the majority shareholder of Proactive Communications, Inc. in a combination equity recapitalization –Employee Stock Ownership Plan. Proactive Communications provides Information Technology services to the US Government and Commercial clients in CONUS and OCONUS locations. The company excels in network engineering, satellite telecommunications, and specialized system engineering. The company has been active for over 5 years and has expanded its geographic reach, capabilities, and staffing to meet the growing needs of customers. PCI has offices in Killeen/Fort Hood, Texas; El Paso/Fort Bliss, Texas, and the Middle East. The satellite telecommunications capability of the company can reach world-wide customers and the employees are also world-wide deployable and can hold clearances for those customers requiring that capability.
The recap and sale to the Company’s new ESOP and Trust represented 100% of the then outstanding stock. The Company, taxed as an “S” Corporation which, under the current tax law, eliminates the Company’s income tax liability going forward. This sale of stock to the ESOP gives the managers and employees a common incentive toward improved productivity, profitability and ultimately a higher share value.
