Enclosed is a tombstone that describes a transaction recently completed by ATICG as financial advisor to the ESOP’s Trustees.
We represented the majority shareholder of Commerce Grinding, Inc. in a combination equity recapitalization –Employee Stock Ownership Plan. Since 1976, Commerce Grinding has been providing high quality grinding solutions to customers all over the United States and throughout Europe. They specialize in precision Blanchard grinding, surface grinding and ID/OD grinding to within .0001" in most cases. They routinely design and build tooling for jobs that are that others cannot. With over 100 machines, including the world's largest rotary surface grinder, an 85 ton overhead crane and an experienced work force, they have long been a leader in their industry. Commerce Grinding employs more than 70 professionals and support staff. Many of their employees have been with the company for more than ten years.
The recap and sale to the Company’s new ESOP and Trust represented 100% of the then outstanding stock. This sale of stock to the ESOP gives the former owner the diversity and flexibility to focus his on building the business and gives the managers and employees a common incentive toward improved productivity, profitability and ultimately a higher share value.
